TERMS & CONDITIONS OF SERVICE

1. Company Information and Licensing Disclosures
PoaPay LLC ("PoaPay," "we," "our," or "us") is a licensed Money Transmitter in the United States. PoaPay is licensed and regulated by applicable state financial regulatory authorities, including but not limited to:

• Washington State Department of Financial Institutions – Consumer Services Division
• New Jersey Department of Banking and Insurance
• Alabama Securities Commission

PoaPay conducts business in accordance with applicable federal law, including the Bank Secrecy Act (BSA), USA PATRIOT Act, and regulations issued by the Financial Crimes Enforcement Network (FinCEN). PoaPay is registered with FinCEN as a Money Services Business (MSB).


2. Description of Services
PoaPay provides electronic money transmission services enabling users to send funds to designated recipients. Funds may be delivered via bank deposits, mobile wallets, or authorized payout partners. PoaPay acts as an intermediary financial service provider and does not provide deposit accounts or investment services.


3. Eligibility and Account Requirements
Users must be at least eighteen (18) years old and legally capable of entering into binding contracts. Users agree to provide accurate and complete information, including full legal name, address, and identification. PoaPay reserves the right to refuse service, suspend accounts, or request additional verification information.


4. Identity Verification and Compliance
To comply with federal and state anti‑money laundering laws, PoaPay may verify identity through documentary and non‑documentary methods. This may include verification through government‑issued identification, database verification, and sanctions screening.


5. Authorized Funding Methods and ACH Authorization
Users authorize PoaPay and its payment processors to debit their bank account via ACH, debit card, or other authorized methods. This authorization remains in effect until revoked. Users agree that ACH transactions comply with NACHA Operating Rules. Users must ensure sufficient funds are available. Returned or rejected transactions may result in fees or service suspension.


6. Fees and Exchange Rates
PoaPay will disclose applicable fees and exchange rates prior to transaction confirmation. Exchange rates are determined based on market conditions and may include a margin. All fees are non‑refundable once the transaction is processed.


7. Processing Times and Delivery
Transfer delivery times depend on destination, funding method, compliance review, and partner availability. PoaPay does not guarantee delivery times and shall not be responsible for delays caused by third‑party providers.


8. Error Resolution and Consumer Protection
Users must notify PoaPay immediately of any suspected errors or unauthorized transactions. PoaPay will investigate errors in accordance with Regulation E and applicable state law. Investigations may take up to 45 days. Users may be required to submit written confirmation.


9. Refund and Cancellation Policy
Users may cancel eligible transfers prior to disbursement. Once funds are delivered, transactions may not be reversible. Refunds will be issued in accordance with applicable law and payment processor requirements.


10. Prohibited Uses
Users agree not to use PoaPay services for illegal activities, including fraud, money laundering, terrorist financing, sanctions violations, or unlawful commercial activity. PoaPay may report suspicious activity to regulatory authorities.


11. Liability Limitations
PoaPay’s liability shall be limited to the amount of the transfer. PoaPay shall not be liable for indirect, incidental, or consequential damages. PoaPay shall not be liable for errors caused by incorrect information provided by the user.


12. User Security Responsibilities
Users are responsible for maintaining the confidentiality of login credentials and must notify PoaPay immediately of unauthorized access. PoaPay may suspend accounts to prevent fraud or unauthorized activity.


13. Privacy and Data Protection
PoaPay collects and uses personal information in accordance with its Privacy Policy and applicable federal and state laws, including the Gramm‑Leach‑Bliley Act (GLBA). Customer information may be shared with regulators, payment processors, and law enforcement as required.


14. Arbitration and Dispute Resolution
Disputes shall be resolved through binding arbitration in accordance with the Federal Arbitration Act. Users waive the right to participate in class action lawsuits.


15. State-Specific Regulatory Notices
Washington State Notice:
If you have a complaint, contact PoaPay customer service first. If you remain dissatisfied, you may contact the Washington State Department of Financial Institutions.

New Jersey Notice:
PoaPay is licensed by the New Jersey Department of Banking and Insurance. Consumers may contact the Department with complaints.

Alabama Notice:
PoaPay is licensed by the Alabama Securities Commission. Customers may file complaints with the Commission.


16. Termination of Service
PoaPay reserves the right to terminate or suspend service at any time for violations of these Terms or applicable law.


17. Governing Law
These Terms shall be governed by federal law and applicable state laws, including Washington State, New Jersey, and Alabama.


18. Changes to Terms
PoaPay may update these Terms at any time. Updated Terms will be posted on the PoaPay website and become effective immediately.
